SUMMARYThe Sr Corporate Counsel advises Labcorp Drug Development technology business units as part of the wider Drug Development Law department. The role involves serving as the primary legal adviser to software as a service business units and acting as a specialist adviser on software and related intellectual property matters. The role involves advising a technology subsidiary which operates somewhat independently of other drug development business units. Successfully managing priorities and balancing competing stakeholder interests are essential skills. The position requires a collaborative, engaging and 'easy to work with' interpersonal interaction style.

Key Responsibilities:

  • Actively advises assigned business unit executive leadership, Contracts Management, operations, and Vendor Management staff on the review and negotiation of contracts and dispute escalation matters within assigned areas of responsibility.
  • Directly negotiates with the company's customers, vendors and others as necessary to resolve commercial issues during contracting or dispute escalation.
  • Advises and builds relationships with assigned segment executive leadership and key business contacts to support business functions and identify and manage risk areas.
  • Supports the development and improvement of company standard operating procedures, business operating procedures, departmental practices, and other systemic documentation as requested.
  • Leads special projects and functional area initiatives.
  • Suggests improvements to department processes, templates, tools, and training on an ongoing basis in response to emerging trends, customer preferences, and the company's risk management posture.
  • Regularly uses company systems including the action tracking system and other corporate systems as required and supports departmental reporting requirements.
  • Provides management with regular status updates on open matters and outstanding issues.
  • Travel up to 10%

Education and Experience: The Senior Corporate Counsel should possess an advanced degree (juris doctor) and have at least 5 years of contract negotiation, drafting, litigation/dispute resolution, transactions, or related legal experience.

  • Admitted to practice law in a US state
  • Excellent contract drafting and negotiation skills are essential requirements
  • Capacity to review large commercial contracts and provide practical, business-focused advice is required
  • Comprehensive knowledge of general corporate business practices and a sound understanding of contracting models and commercial practices is required
  • Experience in the clinical research industry or a healthcare services field is helpful
  • Demonstrated persuasive interpersonal style capable of influencing senior executives
  • Language capabilities in addition to English are valued
  • Excellent interpersonal skills
  • Good written and verbal communication
  • Commercial awareness
  • Exceptional organizational skills, time management and attention to detail
  • Strong Proficiency in Word/Excel/Powerpoint/Outlook
  • Flexibility in responding to job demands
